Terms of Service

These terms govern your use of Cerlut, a product of Corterex Private Limited ("we", "our", "us"), a company incorporated in India with its registered office at:

By using Cerlut, you agree to these terms. If you do not agree, please do not use Cerlut.
What Cerlut is
Cerlut is software that helps business owners manage their team's daily work. You send instructions to Cerlut, and Cerlut handles the assignment, follow-up, and reporting back to you. Cerlut works through the WhatsApp Business Platform.
Who can use Cerlut
You can use Cerlut if you are at least 18 years old, are running a business, and have the legal authority to enter into agreements on behalf of that business. By using Cerlut, you confirm that you meet these requirements.
Your account
You are responsible for everything that happens under your account, including any actions taken by your team members. Keep your access secure and let us know immediately if you suspect any unauthorized use.
Acceptable use
You agree to use Cerlut only for legitimate business purposes. You agree not to:
- Use Cerlut for any illegal purpose or activity
- Use Cerlut to harass, threaten, or harm anyone
- Use Cerlut to send spam, phishing messages, or unsolicited promotional content
- Attempt to reverse-engineer, decompile, or extract the source code of Cerlut
- Use Cerlut in any way that violates applicable laws or regulations
- Misrepresent your identity or your authority within your business
- Interfere with the security or integrity of Cerlut, including attempting to gain unauthorized access to other accounts or to our systems
Your team's information
When you use Cerlut to manage your team, you may share information about team members, including their names and phone numbers. You confirm that you have the right to share this information with Cerlut and to have Cerlut communicate with these team members on your behalf.
You are responsible for informing your team members that their information is being processed through Cerlut and for obtaining any consent required under applicable law.
Your data and content
You own the data and content you send to Cerlut. By using Cerlut, you grant us a limited license to process this data solely for the purpose of delivering the service to you. We will not sell your data or use it for any purpose beyond what is described in our Privacy Policy.
Service availability
We work hard to keep Cerlut running reliably, but we do not guarantee that Cerlut will be available without interruption. Cerlut may occasionally be unavailable due to maintenance, technical issues, or factors outside our control, including issues with the WhatsApp Business Platform or our service providers.
Pricing and payment
Cerlut may be offered with paid plans. Pricing details, billing cycles, and payment terms will be made clear before you sign up for a paid plan and at the time of any changes. All fees are exclusive of applicable taxes unless stated otherwise.
If you cancel a paid plan, your access continues until the end of the billing period for which you have already paid. We do not offer refunds for partial billing periods unless required by law.
We may change our prices from time to time. If we increase the price for a plan you are already on, we will give you reasonable notice before the new price takes effect.
Intellectual property
Cerlut, including the software, branding, design, and all related materials, is the property of Corterex Private Limited and is protected under Indian and international copyright and intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to use Cerlut for your business as long as you comply with these terms. This license ends when your access to Cerlut ends.
Termination
You can stop using Cerlut at any time. To request deletion of your account and your data, write to us at contact@cerlut.com.
We reserve the right to suspend or terminate your access to Cerlut if you violate these terms, if your use of Cerlut creates legal risk for us or others, or if required by law. We will give you reasonable notice when possible.
If your account is terminated, the limited license we granted you ends, and you must stop using Cerlut. Sections of these terms that by their nature should survive termination will continue to apply, including those relating to intellectual property, limitation of liability, and governing law.
Limitation of liability
Cerlut is provided "as is" and "as available", without warranties of any kind, express or implied. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from your use of Cerlut.
Our total liability to you for any claim related to Cerlut, regardless of the cause, is limited to the amount you paid us in the twelve months before the claim arose, or one thousand Indian Rupees (₹1,000), whichever is greater. This limitation does not apply to liabilities that cannot be excluded under Indian law.
Indemnification
You agree to indemnify and hold Corterex Private Limited harmless from any claims, damages, or expenses arising from your misuse of Cerlut, your violation of these terms, or your violation of any law or third-party rights.
Governing law and jurisdiction
These terms are governed by the laws of India. Any disputes arising out of or related to these terms or your use of Cerlut will be subject to the exclusive jurisdiction of the courts of Siliguri, West Bengal.
Changes to these terms
We may update these terms from time to time. If we make a material change, we will notify you through Cerlut or by email. The effective date at the top of this document reflects the most recent version. Your continued use of Cerlut after the changes take effect means you accept the updated terms.
